Terms of Service

1. Acceptance of Terms

By accessing or using the Rampart Space Institute website (rampartspaceinstitute.com) or purchasing any of our services, you agree to be bound by these Terms of Service. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Services Offered

Rampart Space Institute, Inc. ("RSI," "we," "us," or "our") provides the following categories of services:

• Instructor-led workshops and training (in-person, virtual, and hybrid formats)
• Tabletop exercise (TTX) facilitation and scenario design
• Certificate programs (self-paced and cohort-based)
• eLearning library subscriptions
• Executive briefings and advisory services
• Custom curriculum development and consulting

3. Accounts and Registration

Certain services require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. RSI reserves the right to suspend or terminate accounts that violate these Terms.

4. Purchases and Payment

All prices are stated in U.S. dollars. Payment is due at the time of enrollment for eLearning subscriptions and certificate programs. Workshop and TTX engagements are invoiced per Statement of Work.

Refund Policy

• eLearning / Certificate Programs: Full refund if cancelled within 72 hours of purchase and before course materials are accessed. No refund once course materials have been accessed.
• Workshops and Training Events: Full refund if cancelled 30 or more days before the event; 50% refund if cancelled 15–29 days before; no refund within 14 days of the event.
• TTX / Custom Engagements: Per the applicable Statement of Work. A 50% deposit is typically non-refundable if cancelled within 30 days of the engagement date.

RSI may reschedule events with 30 days' notice; clients are entitled to reschedule at no additional charge.

5. Intellectual Property

All RSI content — including training materials, TTX scenarios, curriculum, frameworks, course content, slide decks, assessments, website design, and brand assets — is owned exclusively by Rampart Space Institute, Inc. and protected by applicable intellectual property laws.

Upon purchase, you receive a limited, non-exclusive, non-transferable license to use delivered materials for your internal organizational purposes only. You may not reproduce, distribute, sublicense, or create derivative works from RSI materials without prior written consent.

Any feedback or content you submit to RSI may be used by RSI to improve its services without compensation to you.

6. Acceptable Use

You agree not to:

• Attempt unauthorized access to RSI systems or content
• Reverse engineer, decompile, or extract RSI course content
• Share login credentials with unauthorized individuals
• Use RSI materials to develop competing training programs
• Use RSI services for any unlawful, defamatory, or harassing purpose

7. Disclaimers

RSI services are provided "as is." RSI does not guarantee specific outcomes from participation in training, including regulatory compliance, incident prevention, or certification exam results. TTX scenarios are simulations designed for educational purposes only and are not predictive of actual incidents.

8. Limitation of Liability

To the fullest extent permitted by law, RSI's total liability to you for any claims arising from these Terms or your use of our services shall not exceed the total fees you paid to RSI in the twelve (12) months preceding the claim. RSI shall not be liable for any indirect, incidental, consequential, special, or punitive damages.

9. Indemnification

You agree to indemnify and hold harmless RSI, its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved by binding arbitration under the AAA Commercial Arbitration Rules, with proceedings held in Colorado Springs, Colorado. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Notwithstanding the foregoing, either party may seek emergency injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.

11. Changes to Terms

RSI may update these Terms from time to time. We will provide at least 30 days' notice of material changes via our website or email. Your continued use of our services after the effective date of changes constitutes acceptance of the updated Terms.
